Welcome to Ergvoxi. These Terms of Use (“Terms”) govern your access to and use of the Ergvoxi website, platform, applications, APIs, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree with these Terms, you must not use the Services.
If you are using Ergvoxi on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.
1. About Ergvoxi
Ergvoxi is a software-as-a-service (“SaaS”) platform that provides AI-powered communication, knowledge management, conversational assistance, and appointment automation capabilities for organizations.
Depending on the services enabled, Ergvoxi may allow organizations to:
- Configure an AI agent
- Provide organization-specific knowledge and FAQs
- Upload documents, images, audio, and other content
- Configure providers and availability
- Receive and manage voice calls
- Handle conversational interactions
- Answer customer questions
- Check appointment availability
- Create or cancel appointments
- Review call and conversation history
- Manage authorized staff members and access permissions
The specific functionality available to an organization depends on its plan, configuration, and enabled services.
2. Eligibility and Authority
You must be legally capable of entering into a binding agreement to use the Services.
If you use Ergvoxi on behalf of an organization:
- You represent that you are authorized to act on behalf of that organization.
- “You” and “your” may refer to both you individually and the organization you represent.
- The organization is responsible for the actions of its authorized users.
You must provide accurate information when creating or managing an account and keep that information reasonably current.
3. Ergvoxi Accounts
Certain Services require an account.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- Restricting access to your account
- Providing accurate account information
- Managing authorized users
- Assigning appropriate roles and permissions
- Notifying us of suspected unauthorized access
You are responsible for activity performed through your account unless that activity resulted from unauthorized access that was not reasonably preventable by you.
You must not share individual user credentials between multiple people where separate user accounts are available.
4. Organizations and Authorized Users
An organization may create accounts for its employees, staff members, contractors, or other authorized users.
The organization is responsible for:
- Determining who may access its Ergvoxi account
- Assigning appropriate permissions
- Removing access when a person is no longer authorized
- Maintaining the accuracy of organization information
- Ensuring that its users comply with these Terms
Ergvoxi may rely on instructions and configuration provided by authorized organization administrators.
5. Subscription Plans and Services
Certain Ergvoxi features may be available only under a paid subscription or other applicable commercial arrangement.
Plans may differ in areas including:
- Number of users
- AI usage
- Voice or call usage
- Knowledge-base capacity
- Storage
- Appointment functionality
- Provider limits
- Other usage or feature limits
We may change, introduce, or discontinue plans and features from time to time.
Where a change materially affects a paid service, we may provide reasonable notice where appropriate.
6. Fees, Billing, and Payments
Where paid Services are offered, you agree to pay the applicable fees associated with your selected plan.
Depending on the applicable billing arrangement:
- Fees may be charged on a recurring basis.
- Usage-based charges may apply to certain services.
- Taxes may be added where required.
- Payment information may be processed through third-party payment providers.
- Failed or overdue payments may result in restricted or suspended access.
You authorize Ergvoxi and/or its designated payment provider to process applicable charges according to your selected subscription or order.
Unless otherwise stated in an applicable commercial agreement, fees are generally non-refundable except where required by law or expressly stated in an applicable refund policy.
7. Free Trials and Promotional Access
Ergvoxi may offer free trials, promotional plans, credits, or limited-access features.
Trial or promotional access may be subject to restrictions such as:
- Usage limits
- Duration limits
- Feature restrictions
- Number of users
- Storage limits
- Voice or call limits
- Other conditions communicated at the time of signup
We may modify or discontinue trial or promotional programs at any time, subject to applicable commitments.
Unless otherwise stated, unused trial or promotional usage does not have monetary value and is not transferable.
8. AI Agent Services
Ergvoxi may provide AI-powered agents that interact with users through text, voice, or other communication channels.
The AI agent may:
- Answer questions using organization-provided information
- Retrieve relevant information from an organization’s knowledge base
- Provide conversational responses
- Check availability
- Assist with appointment requests
- Perform configured actions
- Communicate information provided by the organization
AI-generated information is not guaranteed to be accurate.
AI systems can produce incorrect, incomplete, outdated, or inappropriate responses.
Organizations are responsible for reviewing and configuring the information and instructions provided to their AI agent.
Ergvoxi should not be relied upon as a substitute for professional judgment, emergency services, medical diagnosis, legal advice, financial advice, or other specialized professional services.
9. AI Agent Actions and Appointments
Where enabled, the Ergvoxi AI agent may interact with appointment systems or other configured services.
These actions may include:
- Checking availability
- Collecting appointment information
- Booking appointments
- Cancelling appointments
- Communicating appointment details
Organizations are responsible for maintaining accurate provider, service, availability, and scheduling information.
Ergvoxi does not guarantee that an appointment request will always result in a successful booking.
Appointment availability may change between the time an AI agent provides information and the time an action is completed.
Organizations remain responsible for managing their underlying appointment operations.
10. Voice Calls and Telephony
Certain Ergvoxi services may allow organizations to receive or make telephone calls through third-party telecommunications providers.
Voice services may involve:
- Telephone numbers
- Call metadata
- Audio streams
- Speech-to-text processing
- AI-generated responses
- Conversation history
- Call status information
The availability and functionality of voice services may depend on third-party telecommunications infrastructure.
Ergvoxi does not guarantee uninterrupted availability of telephone services.
Organizations are responsible for complying with applicable laws concerning:
- Call recording
- Call transcription
- Consent
- Telephone communications
- Automated calls
- Disclosure that an interaction involves an AI system, where required
- Do-not-call and similar requirements
Where legally required, organizations should provide appropriate notices and obtain required consent before recording or otherwise processing calls.
11. Customer and End-User Interactions
When an individual interacts with an organization’s Ergvoxi-powered AI agent, the organization may control the purpose and content of that interaction.
For example, an organization may configure Ergvoxi to answer questions about its services or assist with appointments.
Ergvoxi provides the technology that enables these interactions but does not independently determine the organization’s business policies, services, availability, or decisions.
12. Customer Data and Organization Content
Organizations may upload or provide content to Ergvoxi, including:
- FAQs
- Text
- PDFs and documents
- Images
- Audio
- Provider information
- Service information
- Availability information
- Appointment configuration
- Other organization-specific information
You retain ownership of content that you provide to Ergvoxi, subject to the rights necessary for us to operate the Services.
You grant Ergvoxi a limited, non-exclusive right to host, store, process, transmit, reproduce, and otherwise use such content as reasonably necessary to:
- Provide the Services
- Operate AI and retrieval functionality
- Process requests
- Maintain the platform
- Provide support
- Protect and secure the Services
- Comply with applicable law
You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to provide such content to Ergvoxi.
13. Acceptable Use
You agree to use Ergvoxi only for lawful and legitimate purposes.
You must not use the Services to:
- Violate applicable laws or regulations
- Infringe intellectual property or privacy rights
- Commit fraud or facilitate fraudulent activity
- Impersonate another person or organization
- Attempt unauthorized access to systems or accounts
- Interfere with the operation of the Services
- Introduce malicious software or harmful code
- Circumvent usage limits or security controls
- Abuse APIs or automated interfaces
- Attempt to reverse engineer or compromise the platform
- Use the Services to distribute unlawful or harmful content
- Use automated communication capabilities for unlawful spam or abuse
- Exploit the AI agent to perform unauthorized actions
- Use the Services to facilitate activities that create unreasonable risks to individuals or third parties
We may investigate suspected violations and take appropriate action where necessary.
14. Restricted and High-Risk Uses
You must not use Ergvoxi in a manner that creates unreasonable risk of harm to individuals or that requires guarantees of accuracy that an AI system cannot reasonably provide.
Unless expressly agreed with Ergvoxi in writing, you should not use the Services as the sole basis for:
- Emergency response
- Medical diagnosis or treatment decisions
- Legal determinations
- Financial decisions
- Employment decisions
- Credit decisions
- Other high-impact decisions affecting an individual’s rights or access to essential services
Organizations remain responsible for implementing appropriate human oversight where their use case requires it.
15. Intellectual Property
The Ergvoxi platform, including its software, design, interfaces, branding, documentation, underlying technology, and related materials, is owned by or licensed to Ergvoxi and is protected by applicable intellectual property laws.
Except as expressly permitted under these Terms, you may not:
- Copy the Services
- Modify or create derivative works from the platform
- Reverse engineer or decompile the software
- Resell or sublicense the Services without authorization
- Remove proprietary notices
- Use Ergvoxi branding without permission
Your subscription gives you a limited right to access and use the Services. It does not transfer ownership of the Ergvoxi software or technology to you.
16. Your Content and Feedback
You retain ownership of content you provide to Ergvoxi.
You may voluntarily provide suggestions, ideas, recommendations, bug reports, or other feedback.
You agree that Ergvoxi may use such feedback without restriction or obligation to compensate you, provided that doing so does not disclose your confidential information.
17. AI Models and Third-Party Technology
Ergvoxi may use third-party technologies and services to provide AI, voice, telecommunications, infrastructure, storage, email, payment, monitoring, or other functionality.
Third-party services may operate under their own terms and privacy policies.
Because these services are operated independently of Ergvoxi, we cannot guarantee that every third-party service will always be available, uninterrupted, or error-free.
Changes, outages, limitations, or discontinuation of third-party services may affect corresponding Ergvoxi functionality.
18. Third-Party Links and Services
The Services may contain links to third-party websites or integrate with third-party services.
Third-party services are not controlled by Ergvoxi.
Your use of third-party services may be subject to separate terms, privacy policies, fees, and other requirements.
Ergvoxi is not responsible for the content, security, availability, or practices of third-party services.
19. Service Availability
We aim to provide reliable and secure Services, but we do not guarantee that the Services will:
- Always be available
- Be uninterrupted
- Be completely error-free
- Be free from defects
- Meet every specific business requirement
- Produce completely accurate AI responses
Services may occasionally be unavailable due to:
- Maintenance
- Updates
- Infrastructure issues
- Security incidents
- Telecommunications failures
- Third-party service outages
- Internet or network problems
- Events outside our reasonable control
We may perform maintenance or make changes to the Services as necessary.
20. Security
We implement reasonable technical and organizational measures intended to protect the Services and information processed through them.
However, no online service can guarantee absolute security.
You are responsible for maintaining appropriate security practices for your accounts, credentials, devices, integrations, and organization users.
If you become aware of suspected unauthorized access to your Ergvoxi account, you should notify us promptly.
21. Privacy
Your use of Ergvoxi is also subject to our Privacy Policy, which explains how we collect, use, store, and process personal information.
The Privacy Policy forms part of these Terms by reference.
22. Confidentiality
Each party may receive confidential information from the other in connection with the Services.
Confidential information should be used only for purposes related to the applicable business relationship and should not be disclosed to unauthorized parties, except where disclosure is:
- Required by law
- Necessary to provide the Services
- Made to professional advisers or service providers subject to appropriate confidentiality obligations
- Authorized by the party that owns the information
These confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or already known without confidentiality obligations.
Where a separate written agreement contains confidentiality obligations, that agreement will control to the extent of any conflict.
23. Suspension of Services
We may temporarily suspend access to some or all Services where reasonably necessary to:
- Protect the security of the platform
- Prevent abuse
- Address a security incident
- Comply with legal requirements
- Prevent harm to Ergvoxi or other users
- Address non-payment
- Investigate material violations of these Terms
Where reasonably practical, we will provide notice before suspension unless immediate action is necessary.
24. Termination
You may stop using the Services or cancel your account according to the applicable subscription or commercial terms.
We may terminate or suspend an account where:
- You materially breach these Terms
- You engage in unlawful or abusive activity
- You repeatedly violate acceptable-use requirements
- Required payments remain unpaid
- Continued access creates a material security or legal risk
Upon termination, your right to access the Services will generally end.
Certain provisions of these Terms are intended to survive termination, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, payment obligations, and dispute-related matters.
25. Data Following Termination
Following account termination, information may be deleted or retained in accordance with our Privacy Policy, applicable agreements, legal obligations, and reasonable backup and security practices.
Organizations are responsible for exporting any information they need before termination where export functionality is available.
26. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Ergvoxi does not warrant that:
- AI-generated responses will always be accurate
- Information retrieved by the AI agent will always be complete or current
- Appointment availability will always be accurate
- Every appointment request will succeed
- Voice services will always be available
- Third-party integrations will remain available
- The Services will satisfy every particular business requirement
- The Services will be completely uninterrupted or error-free
You are responsible for evaluating whether the Services are appropriate for your intended use.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Ergvoxi and its officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Services.
This may include losses arising from:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Business interruption
- Reliance on AI-generated information
- Failed or incorrect appointments
- Telecommunications interruptions
- Third-party service failures
To the maximum extent permitted by applicable law, Ergvoxi’s aggregate liability arising out of or relating to the Services will be limited to the amount paid by the applicable customer to Ergvoxi for the Services during the [three/six/twelve] months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
28. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ergvoxi and its officers, employees, affiliates, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:
- Your violation of these Terms
- Your unlawful use of the Services
- Content you provide to Ergvoxi
- Your violation of another person’s rights
- Your organization’s use of the AI agent or automated communication services
- Your failure to obtain required permissions or consents
- Your users’ misuse of the Services
This provision does not apply to the extent a claim results from Ergvoxi’s own unlawful conduct or obligations that cannot legally be transferred to you.
29. Changes to the Services
Ergvoxi may modify, improve, replace, or discontinue features of the Services from time to time.
We may introduce new functionality, modify existing functionality, change technical implementations, or retire features.
Where a material change substantially reduces functionality included in a paid service, we will make reasonable efforts to provide appropriate notice where required.
30. Changes to These Terms
We may update these Terms periodically.
When we make changes, we may update the “Last Updated” date at the top of this page.
Where required by law, we will provide additional notice of material changes.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
31. Governing Law and Disputes
These Terms will be governed by the laws applicable to the legal entity operating Ergvoxi, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Any dispute arising from or relating to the Services will be handled through the dispute-resolution process specified in the applicable commercial agreement or, where no separate agreement applies, through the courts or dispute-resolution mechanisms having appropriate jurisdiction.

32. Force Majeure
Ergvoxi will not be responsible for delays or failures caused by circumstances beyond its reasonable control.
Such circumstances may include:

- Cloud or hosting outages
- Cybersecurity incidents
- Power failures
- Third-party service disruptions
- Other events outside reasonable control
This provision does not excuse payment obligations that have already accrued.
33. Entire Agreement
These Terms, together with the applicable Privacy Policy, subscription terms, order forms, commercial agreements, and other documents expressly incorporated by reference, constitute the agreement governing your use of the Services.
If there is a conflict between these Terms and a separately executed written agreement between Ergvoxi and an organization, the separately executed agreement will generally control for that organization’s use of the Services.
34. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
35. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.
